Terms of sale
This is a translation for convenience. The French version prevails.
These terms apply to FOCSA’s services: brand websites, Shopify stores and the care plan. They complement the signed quote, which prevails in case of difference.
1. Provider
Yvan FOCSA, sole trader (entrepreneur individuel, EI), trading as FOCSA, Micro-enterprise (France), [à compléter]. Registration: [à compléter]. Contact: contact (at) focsa.io.
2. Quote and order
Each service is described in a detailed quote, valid for 30 days. The order is firm once the signed quote and the deposit are received. Any request outside the quote is covered by an additional quote.
3. Prices and payment
Prices are those of the quote, in euros. VAT: [à compléter]. A deposit of [à compléter] of the quote is due with the order, the balance on delivery, before launch. The care plan is paid monthly, in advance.
For business clients, late payment incurs penalties at three times the French statutory interest rate, plus a fixed €40 recovery fee (French Commercial Code, articles L441-10 and D441-5). The studio may suspend work or the care plan while an overdue invoice remains unpaid.
4. Process and timing
The project follows the steps described in the quote: conversation, mockup, development, review and launch. The client provides the text, images, access and approvals needed. Stated timings run from receipt of these items and may shift if they arrive late.
5. Approval and delivery
The mockup is approved in writing before development. Once the site is delivered on a test address, the client has 10 days to report defects against the quote. Without feedback within that time, or as soon as the site goes live at the client’s request, delivery is deemed accepted.
6. Ownership and transfer
Once paid in full, the client owns the delivered site: the code, content and graphic elements created for them. The domain name and accounts (hosting, Shopify) are in the client’s name. The studio’s generic components, tools and methods remain its property; the client receives the right to use them for their site. Third-party fonts, extensions and services remain under their own licences.
Unless the client objects in writing, the studio may show the project in its portfolio and on social media.
7. Shopify stores
The studio creates the store through the Shopify Partner program, then transfers it to the client’s account. The Shopify subscription, apps and payment fees are billed directly by Shopify and the relevant publishers. The client remains responsible for their products, prices, own terms of sale and obligations to their buyers.
8. Care plan
The care plan includes what the quote describes, for example hosting, daily monitoring, security updates and a weekly backup. It runs month to month and either party may end it with one month’s notice by email. On termination, the client receives their site and content.
9. Liability
The studio is bound by an obligation of means. It is not liable for interruptions caused by hosts, platforms or third-party services, nor for content supplied by the client. For business clients, its liability is limited to the amount paid for the service concerned.
10. Consumers
A consumer client may withdraw within 14 days of the order, without giving a reason, by email. If they ask for work to start before that period ends, they pay for the part already carried out if they withdraw (French Consumer Code, article L221-25). In a dispute, they may use the consumer mediator free of charge: [à compléter].
11. Personal data
Data exchanged during the project is only used to carry it out and invoice it, as described in the privacy policy.
12. Governing law
These terms are governed by French law. In a dispute, the parties first seek an amicable solution. Failing that, and for business clients, the courts of Versailles have jurisdiction.
